998-Platform Terms and Conditions
Please read the TERMS & CONDITIONS ("Terms", "Terms and Conditions", "Terms of Use") carefully before registering, accessing, or using the Services offered through the web application at https://998-P.com/ or other related subdomains as may be officially utilized by us from time to time ("the 998-P Platform").
These Terms and Conditions are a legal contract between the user of the Services or the entity that You represent ("You", "Your") and 998-Platform, ("998-P", "Company", "We", "us").
You agree and acknowledge that You have read the Terms and Conditions set forth below and also agree to our Privacy Policy and additional Terms and Conditions as applicable to You, which form a part of these Terms & Conditions. If You do not agree to these Terms & Conditions or do not wish to be bound by them, you may not use the Services and/or immediately terminate Your Services and/or contact us to terminate Your subscription to the Services. If You represent an entity, organization, or any other legal person, you confirm and represent that You have the necessary power and authority to bind such entity, organization, or legal person to these Terms. The usage of the term "this Agreement" herein refers to the Terms and Conditions as a comprehensive agreement, including the Privacy Policy and other Terms as agreed by You.
By registering on the 998-P Platform and accessing the Services of 998-P, you represent and warrant the following:
- You are 18 years of age or older;
- You are capable of entering into a legally binding agreement; and
- You are not barred or legally prohibited from accessing the Services of 998-P.
1. Services
The 998-P Platform enables professionals to register, maintain profiles, and manage their service offerings through a comprehensive Professional Registration and Dashboard. It provides Client Engagement Tools with AI-assisted workflows, dashboards, and communication features to facilitate seamless interactions with clients.
The platform also includes Payment and Voucher Management, supporting invoicing, collection of fees, disbursement of payments, and issuance of vouchers as incentives. As a next-generation Online Marketplace and AI-Assisted Practice Management Platform (PMP) system, 998-P is designed to transform how professionals across key service sectors operate and deliver value. At its core, it offers a cloud-based, modular, and scalable ecosystem that combines a powerful PMP infrastructure with a dynamic service exchange environment, allowing professionals to manage operations efficiently while connecting with potential clients. Operating on a Software-as-a-Service (SaaS) model, the platform delivers robust and intelligent workflow automation tools to assist in complex task execution, professional compliance, collaborative team management, client interaction, and real-time progress tracking, all through an integrated interface. The system fosters transparency, enhances productivity, and ensures service excellence by supporting both on-platform and hybrid work modes, while also providing credential-based access to maintain regulatory alignment and service integrity. Each user group functions within a customized PMP environment, referred to as "Drive:\", with common modules like virtual meetings and document rooms shared across drives, and other modules tailored for specific professional domains. The Company may notify users of significant changes to Services through emails, notifications, or other communications.
998-P may integrate third-party services (such as payment gateways, cloud storage, communication tools, or government APIs). Use of such services shall be governed by the third-party's terms, and 998-P disclaims responsibility for their performance, data practices, or downtime.
998-P reserves the right to modify, suspend, or discontinue any module, feature, or service at any time without liability, provided that such changes shall not materially deprive You of core subscribed services.
User Data & Privacy: By using the Platform, you consent to the collection, storage, processing, and use of your personal data and professional information in accordance with the Company's Privacy Policy. The Company shall take reasonable security measures to protect data but disclaims liability for events beyond its reasonable control, including third-party breaches.
2. Disclaimer
998-P acts solely as an intermediary when connecting Professionals with clients and is not responsible for the conduct, performance, or obligations of Professionals or clients. However, in the event of any issues or disputes, our committees will review the matter in accordance with applicable law, with the laws of the Republic of India being paramount and the courts in Mumbai having jurisdiction. While the Platform offers AI-assisted tools and outputs to support professional work, AI is intended to assist, not replace, human judgment or expertise; all outputs, advice, or suggestions generated by the AI should be cross-checked by the professional. AI-generated documents should not be treated as legal advice or certified compliance output.
Efforts are made to ensure functionality, but the accuracy, completeness, or reliability of any content on the Platform is not guaranteed. Outputs may be incomplete, outdated, or legally insufficient, and that 998-P bears NO LIABILITY for reliance without professional validation. Third-party content may also be available on the Platform, for which 998-P disclaims responsibility. The Platform may take disciplinary actions in accordance with its rules and regulations, always within the boundaries of applicable law. If subscribed modules are used, they are designed to assist with tasks and save time; however, users must cross-check outputs, as ultimate responsibility remains with the professional.
3. License
Upon registration, subscription, purchase, or access, Professionals are granted a non-exclusive, non-transferable, non-sublicensable license to use the 998-P Platform solely in connection with their professional engagements. This license is strictly subject to these Terms & Conditions, as well as any additional Terms specified by 998-P, and must always be exercised in full compliance with applicable laws, regulations, and professional standards. Professionals are expressly prohibited from:
- Removing, altering, or obscuring any copyright, proprietary, trademark, or other notices displayed on the Platform, whether embedded in content, software, modules, or other materials;
- Using any content, ideas, modules, features, or graphics of the Platform to create, develop, or assist in the creation of a competing product or service, whether directly or indirectly;
- Exploiting the Platform's intellectual property, ideas, workflows, or functionalities for personal gain or commercial purposes, including copying, modifying, or distributing without the prior written consent of 998-P;
- Engaging in any activity that would be in contravention of applicable law, regulations, or professional codes of conduct, including but not limited to unauthorized practice, infringement of third-party rights, or violation of data privacy or compliance requirements.
The license is intended to support and enhance professional work, not replace professional judgment or bypass legal or regulatory obligations. Any violation of these restrictions may result in suspension, termination of access, or disciplinary action by 998-P, without prejudice to any legal remedies available under the laws of the Republic of India.
4. Payments and Refunds
Until such time as modules or services on the 998-P Platform are offered free of charge, no payment is required. However, once any module, subscription, or service becomes chargeable, all applicable fees must be paid in full prior to access or use of such modules. Users who purchase a module but have not yet utilized it may request cancellation, which will be accepted only within one hour of purchase. For subscription-based modules, whether billed monthly or annually, cancellation and refund will be permissible only within twelve hours of purchase and strictly if the modules have not been accessed or used in any manner. Accessing even a part of a module will render it non-refundable. Eligible refunds will be processed through wallet credit or bank refund, as may be selected by the users.
For services such as client referrals, professional mandates, or other engagements facilitated through the Platform, 998-P may levy fees according to its prevailing terms and conditions, with payment obligations arising at the conclusion of the respective mandate or engagement. Fees are exclusive of applicable taxes (GST, cess, etc.) and must be borne by the user.
Additionally, vouchers issued by 998-P are fully redeemable and may either be applied toward future module purchases or other Platform services, as determined by 998-P. Please note that vouchers cannot be exchanged for cash unless expressly stated and they have an expiry period of 3 years form the date of issue, unless otherwise is provided for, and they are non-transferable.
Users acknowledge and agree that these policies are designed to ensure fairness, transparency, and the integrity of the Platform's operations, while also safeguarding the interests of both Professionals and clients engaging with the 998-P ecosystem.
"998-P reserves the right to revise pricing, introduce new fees, or withdraw free services by prior notice via email/Platform notification."
5. Prohibitions on Usage
By accessing or using the 998-P, you agree to comply with all applicable laws and regulations and acknowledge that the following activities are strictly prohibited. You shall not:
- Violate any applicable laws, rules, or regulations, whether local, national, or international, including but not limited to laws related to data privacy, intellectual property, professional conduct, and online commerce;
- Impersonate any individual, entity, or personnel of 998-P, including attempting to misrepresent Your identity, affiliation, or credentials in order to gain unauthorized access, privileges, or advantages on the Platform;
- Engage in actions that are illegal, fraudulent, deceptive, harmful, threatening, harassing, abusive, obscene, or infringe upon the rights of others, including intellectual property, privacy, and contractual rights;
- Attempt to disrupt, disable, or interfere with the proper functioning of the Platform, including through denial-of-service attacks, distributed denial-of-service attacks, introduction of viruses, worms, trojans, ransomware, or any other malicious software or code;
- Use automated tools, scripts, bots, spiders, or other mechanisms to monitor, copy, extract, or manipulate Platform data or content without prior written consent from 998-P, including harvesting of user information or content for commercial or unauthorized purposes;
- Circumvent, avoid, or attempt to bypass Platform fees, commissions, billing mechanisms, or any security or authentication measures implemented to protect the integrity of the Platform and its users;
- Copy, reproduce, distribute, modify, or publicly display Platform content for any purpose other than authorized use as permitted by the license, or attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying structure, or algorithms of the Platform;
- Engage in any conduct that could damage 998-P's reputation, ratings, or trustworthiness, or that could negatively impact other Users' ability to use the Platform effectively or safely;
- Use the Platform to facilitate or promote any activities that are unlawful, unethical, or in violation of professional standards, including unauthorized professional practice, misrepresentation of qualifications, or solicitation in contravention of applicable regulations.
998-P reserves the right to investigate any suspected violation, take disciplinary actions in accordance with its rules and regulations, and restrict, suspend, or terminate access to the Platform at its sole discretion, without prejudice to any remedies available under law.
998-P may, at its sole discretion, request verification documents (such as PAN, Aadhaar, GSTIN, or professional membership numbers) before or during continued use of the Platform. Failure to provide accurate information may result in suspension or termination.
6. Intellectual Property Rights
- Ownership of the Platform: 998-P and its affiliates exclusively own all rights, title, and interest in and to the Platform, including but not limited to its software, underlying code, architecture, design, layout, graphics, interfaces, logos, trademarks, and other proprietary materials. All rights are protected under applicable intellectual property laws, including copyright, patent, and trademark laws, both domestic and international.
- Content Created by Professionals: Professionals retain ownership of the content they create, upload, or share on the Platform, including documents, profiles, communications, surveys, questionnaires, and other professional outputs. By using the Platform, Professionals grant 998-P a non-exclusive, worldwide, royalty-free, limited license to use, reproduce, distribute, modify, display, or communicate such content solely for purposes of operating, maintaining, improving, and promoting the Platform, including processing survey responses, facilitating feedback workflows, performing analytics, and communicating with Professionals and clients.
- Survey and Feedback Data: All surveys, feedback forms, or questionnaires administered through the Platform remain the intellectual property of the Professional or entity that creates them. 998-P may collect and process aggregated, anonymized data for Platform improvement, feature development, and reporting.
- Copyright Infringement Claims: If you believe that any content available on
the Platform infringes your copyright or other intellectual property rights, you must report
it promptly by sending a detailed claim via email to [co.sec@998-p.com and admin@998-p.com],
including:
- A description of the copyrighted work or intellectual property you claim has been infringed;
- Identification of the allegedly infringing content or material on the Platform;
- Your contact information; and
- A statement under penalty of perjury that you are the owner or authorized to act on behalf of the owner of the rights.
998-P will review all claims in accordance with applicable law and may remove or restrict access to allegedly infringing content as necessary, without assuming liability for any content posted by Professionals.
7. Indemnification and Limitation of Liability
Professionals agree to indemnify, defend, and hold harmless 998-P, its affiliates, officers, employees, agents, and partners from and against any claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Any breach of these Terms & Conditions, the Privacy Policy, or any other applicable policies of 998-P;
- Any violation of applicable laws, regulations, or the rights of third parties;
- Any unauthorized, improper, or wrongful use of the Platform, including misuse of Platform features, modules, or services;
- Any reliance on AI-generated outputs, advice, or suggestions without proper professional verification or cross-checking.
While the Platform provides AI-assisted tools and outputs to support professional work, AI is intended solely to assist and not replace human judgment, expertise, or decision-making. Professionals remain fully responsible for verifying, validating, and cross-checking all outputs, suggestions, or recommendations provided by AI before acting upon them.
To the fullest extent permitted by law, 998-P, its officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from the use of the Platform, including but not limited to errors or omissions in AI-generated content, disruptions to services, or reliance on professional outputs.
The Platform may implement disciplinary or remedial measures in accordance with its rules and regulations, always within the boundaries of applicable law. Users acknowledge that subscribing to Platform modules is intended to assist in completing tasks efficiently and saving time; however, ultimate responsibility for professional decisions and outputs rests entirely with the Professional.
8. Term & Termination
These Terms & Conditions remain in effect until terminated as specified herein. 998-P reserves the right, at its sole discretion, to suspend or terminate Your access to the Platform for violations of these Terms, misconduct, breach of obligations, or any other actions deemed inappropriate under applicable law.
Upon termination or suspension:
- All licenses, rights, and permissions granted to You under these Terms shall terminate immediately;
- Any outstanding fees, payments, or other obligations owed by You to 998-P shall become immediately due and payable;
- You must cease all use of the Platform immediately, including any access to AI-assisted tools, modules, or proprietary features.
Termination shall not affect any rights or obligations accrued prior to termination, including indemnification, payment obligations, or liability disclaimers. All actions taken by 998-P in relation to termination or suspension shall be within the boundaries of applicable law, including the jurisdiction of the Republic of India, with courts in Mumbai having exclusive jurisdiction.
998-P explicitly reserves right to suspend any user access if subscription fees remain unpaid or if abusive activity is detected which may include spam, fraud or any kind of misuse.
9. General Terms and Conditions
- Force Majeure: Neither party shall be held liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, acts of God, wars, civil unrest, labour strikes, pandemics, or governmental restrictions. Performance obligations shall be suspended for the duration of such events without liability.
- Notices: Any notices, communications, or updates required under these Terms may be delivered via Platform notifications, email, or registered/speed post to the addresses provided by You during registration. Notices shall be deemed received upon delivery or as per applicable postal or electronic confirmation.
- Governing Law and Jurisdiction: These Terms, including all matters relating to their interpretation, performance, or enforcement, shall be governed by and construed in accordance with the laws of India. The courts in Mumbai, Maharashtra, shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.
- Entire Agreement: These Terms, together with the Privacy Policy, any additional policies, module-specific terms, or written agreements applicable to You, constitute the complete and exclusive agreement between You and 998-P, superseding any prior oral or written understandings.
- Waiver & Severability: Failure by 998-P to enforce any provision of these Terms shall not be deemed a waiver of any rights. If any provision is determined to be unenforceable or invalid under applicable law, it shall be modified or limited to the minimum extent necessary to make it enforceable, without affecting the validity or enforceability of the remaining provisions.
- Assignment: You may not assign, transfer, or delegate any of Your rights or obligations under these Terms without prior written consent from 998-P. 998-P may freely assign or transfer its rights, obligations, or interests without restriction.
- Independent Contractors: Nothing in these Terms shall create, or be deemed to create, a partnership, joint venture, employment, or agency relationship between You and 998-P. Each party operates as an independent contractor, solely responsible for its own employees, agents, and obligations.
- Separate Individual Agreements: Any separate written agreement executed between You and 998-P, which specifically addresses a matter in conflict with these Terms, shall take precedence over the conflicting provisions herein. For any matters not expressly covered in such individual agreements, these Terms and Conditions shall apply in full.
- Changes to Terms: 998-P reserves the right to modify, update, or replace these Terms at any time. Continued use of the Platform after changes are posted constitutes Your acceptance of the revised Terms. Significant updates may be communicated via email or Platform notifications.
- Dispute Resolution Mechanism: Any disputes shall first be attempted to be resolved amicably through mediation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai, India. The language of arbitration shall be English.
